1. Introduction Evomatec recognizes the importance of a transparent, responsible procurement cycle that minimizes social and environmental impacts and protects all stakeholders. We expect our suppliers – including their subcontractors – to apply common rules, practices, and principles in the areas of ethics and integrity, employment conditions and social responsibility, environment, health, safety, and quality. Evomatec is committed to complying with applicable laws and best practices. If stricter legal requirements apply in addition to this Code, they shall take precedence. If, in exceptional cases, adherence to the Code leads to a conflict with the law, the relevant standards must be observed; the conflict must be reported to Evomatec immediately.

2. Purpose This Code defines Evomatec's expectations for socially, environmentally, and economically sustainable procurement and specifies the Evomatec Code of Ethics, particularly in cooperation with suppliers.

3. Scope The Code applies to all individuals, organizations, companies, partners, and suppliers who provide services to Evomatec. Suppliers shall ensure that their employees and subcontractors are aware of and apply the Code.

4. General Conditions Evomatec acts in a legally compliant and ethical manner. Compliance with this Code is a selection and evaluation criterion. By accepting a contract, the Supplier confirms full knowledge and acceptance, as well as responsibility for its implementation throughout the entire supply chain.

5. Requirements for Business Ethics and Integrity Suppliers shall comply with all applicable laws and establish suitable organizational structures to ensure compliant, transparent, and traceable conduct. 5.1 Prohibition of All Forms of Corruption No active or passive corruption, no undue influence. No improper benefits to public officials or private individuals. 5.2 Fraud No deception, false statements, embezzlement, or other fraudulent acts. 5.3 Gifts and Invitations Only socially appropriate, of low value, transparent, legally permissible, without expectation of a quid pro quo; strictly observe anti-corruption laws. 5.4 Prohibition of Money Laundering Effective measures to prevent money laundering must be implemented. 5.5 Fair Competition No anti-competitive behavior (price/bid rigging, market/customer allocation, exchange of sensitive information, etc.). 5.6 Conflicts of Interest Avoid conflicts; disclose actual or potential conflicts. 5.7 Confidentiality Protection of trade secrets and non-public information. 5.8 Data Protection / Transfer of Personal Data Compliance with all data protection laws; appropriate technical and organizational measures. 5.9 Cybersecurity Information security management, training, secure procedures (passwords, anti-malware, device authentication). 5.10 Customs and Security Regulations Compliance with all relevant customs, import, and security rules. 5.11 Trade Restrictions and Sanctions Compliance with export/import controls and international sanctions. 5.12 Protection of Assets Protection of Evomatec's resources, brand image, and IP rights. 5.13 Public Statements Restrained communication; no attribution to Evomatec without approval; maintain confidentiality. 5.14 Transparency of Information Correct, clear, non-misleading product and process information.

6. Employment Conditions and Social Responsibility 6.1 Prohibition of Child Labor No employment below the legal minimum age; strictly prohibited under 16 years (or higher local minimum age). No hazardous work, night work, or overtime for minors. 6.2 Prohibition of Forced Labor and Human Trafficking No forced labor, slavery, bonded labor; respect freedom of movement. 6.3 Prohibition of Illegal, Undeclared Work Compliance with all regulations on legal employment. 6.4 Protection from Harassment and Abuse Respectful treatment; prohibition of any physical, sexual, verbal, or psychological harassment. 6.5 Prohibition of Discrimination Equal treatment in all personnel processes – regardless of personal characteristics. 6.6 Freedom of Association Respect for the rights to freedom of association and collective bargaining. 6.7 Wage Equity At least statutory minimum wages and benefits; permissible overtime bonuses; no unlawful deductions. 6.8 Working Hours Compliance with local laws and international standards (ILO) on working/rest times; limit overtime; at least one day off per 7-day period. 6.9 Diversity and Inclusion Promotion of a diverse, inclusive work environment; equal opportunity based on qualifications.

7. Compliance, Environment, Health & Safety, Quality Evomatec and suppliers shall reduce environmental impacts along the supply chain; all necessary permits must be adhered to and proven. 7.1 Sustainable Development of Products and Processes Improve life cycle assessment, use resources efficiently, optimize waste management, handle hazardous materials safely. 7.2 Health and Safety Safe working environment; identify and minimize hazards; training, PPE, communication; regularly check compliance. 7.3 Quality Consistently meet legal and contractual quality requirements.

8. Suppliers with Subcontracting Report subcontracts; fully commit subcontractors to the Code and train them.

9. Control and Access to Information 9.1 Control Evomatec is entitled to conduct checks (audits); identified deficiencies must be remedied by the deadline and at the Supplier's expense; in case of serious violations, contract termination is possible. 9.2 Access to Information Suppliers shall provide all evidence of compliance with the Code.

10. Reporting Procedure Violations or suspected cases must be reported immediately to the responsible Evomatec contact person.

11. Approval and Revision of the Code The Code has been approved and is regularly reviewed for up-to-dateness and conformity with best practices. A prerequisite for cooperation is the acknowledgment and observance of this Code.
